Terms of Service
The terms that govern proposals, Statements of Work, invoices, subscriptions and every engagement with Apex Marketing Lab.

These Terms of Service govern services provided by Apex Marketing Lab. They apply to proposals, Statements of Work, invoices, service agreements, subscriptions, digital marketing services, and other client engagements.
By purchasing, approving, signing up for, or using services provided by Apex Marketing Lab, the client agrees to these Terms of Service.
1 · Scope of services
Apex Marketing Lab provides digital marketing and related business services, which may include website services, search engine optimization, paid advertising, social media marketing, reputation management, business listings, lead generation, marketing automation, email and SMS tools, reporting, content creation, and related services.
The specific services, deliverables, pricing, timelines, and responsibilities for each client are determined by the applicable proposal, Statement of Work, invoice, order form, or written agreement. Services or revisions outside the approved scope may require additional authorization and fees.
2 · Client responsibilities
Clients are responsible for providing accurate and timely information necessary for Apex Marketing Lab to perform the agreed services. This may include business information, account and platform access, website or domain access, logos and brand assets, images and videos, product or service information, pricing and promotions, customer information, required approvals, and advertising claims and disclosures.
Clients are responsible for ensuring that information and materials supplied to Apex Marketing Lab are accurate, lawful, and authorized for use. Delays in providing information, access, content, or approvals may affect project schedules, campaign launches, and results.
3 · Payments and fees
Fees, payment schedules, setup charges, advertising budgets, software expenses, hosting charges, platform fees, and other applicable costs will be identified in the applicable agreement or invoice.
Unless otherwise stated in writing, fees paid to Apex Marketing Lab are non-refundable once work or service delivery has begun. Late, declined, or failed payments may result in delayed work, suspension of services, loss of platform access, or termination of services. Clients remain responsible for approved charges and outstanding balances.
4 · Client approvals and deliverables
Clients are responsible for reviewing and approving deliverables provided by Apex Marketing Lab, including websites, advertisements, content, listings, marketing campaigns, messages, graphics, automations, and other materials.
Approval may be provided through email, project-management systems, dashboards, written communication, payment, publication, use of the deliverable, or another mutually accepted method. Apex Marketing Lab may proceed with publication or implementation following an agreed or reasonable review period when appropriate.
5 · No guaranteed results
Marketing performance varies from business to business. Apex Marketing Lab does not guarantee specific search rankings, leads, sales, revenue, website traffic, conversions, customer reviews, social media growth, advertising performance, platform approvals, or business outcomes.
Results may be influenced by competition, budget, geography, market conditions, client responsiveness, customer behavior, third-party algorithms, platform policies, business reputation, offers, pricing, and other factors outside Apex Marketing Lab's control. Forecasts, projections, reports, and performance estimates are not guarantees of future results.
6 · Third-party platforms and services
Apex Marketing Lab services may rely on third-party platforms and providers, including search engines, advertising networks, social media platforms, website hosts, CRM systems, directories, review platforms, email and SMS providers, payment processors, analytics services, software providers, APIs, and other technologies.
Apex Marketing Lab does not control third-party platforms and cannot guarantee their availability, approval processes, performance, policies, or continued operation, and is not responsible for outages, suspensions, rejected content, account restrictions, algorithm changes, indexing delays, policy changes, or other decisions made by third-party providers.
7 · Email, SMS and marketing communications
When Apex Marketing Lab provides email, SMS, lead tracking, customer messaging, automation, or related marketing tools, the client is responsible for ensuring that its contact information and customer lists were obtained lawfully.
Clients are responsible for obtaining all required permissions, consent, and opt-ins before sending or authorizing marketing communications. Clients may not knowingly use purchased, scraped, unauthorized, or opted-out contact lists in connection with Apex Marketing Lab services. The client remains responsible for compliance with laws and regulations applicable to its communications and marketing activities.
8 · Client content and compliance
Clients represent that they own or have permission to use content supplied to Apex Marketing Lab, including logos, photos, videos, testimonials, trademarks, customer information, product information, service descriptions, claims, and offers and promotions.
Clients are responsible for ensuring that their products, services, pricing, advertising claims, communications, promotions, and business practices comply with applicable laws and platform requirements.
9 · Ownership and intellectual property
Unless otherwise agreed in writing, clients receive rights to final custom deliverables specifically created for them after all applicable payments have been received.
Apex Marketing Lab retains ownership of its pre-existing materials, systems, processes, templates, frameworks, internal tools, strategies, software configurations, methods, know-how, and reusable materials. Third-party materials — including stock media, software, plugins, fonts, templates, and platform tools — remain subject to their respective license terms.
10 · Confidentiality and privacy
Apex Marketing Lab and its clients may exchange confidential business, technical, financial, marketing, or operational information while services are being provided. Both parties are expected to use confidential information only for legitimate business purposes related to the engagement and to protect it from unauthorized disclosure.
Clients should not submit highly sensitive, regulated, medical, financial, or other protected information through marketing tools unless the applicable service and a separate written agreement expressly permit it. How we handle personal information is set out in the Privacy Policy.
11 · Suspension and termination
Apex Marketing Lab may suspend or terminate services when appropriate due to nonpayment, material violation of these Terms, unlawful activity, abuse or misuse of services, fraudulent or deceptive activity, repeated failure to cooperate, unauthorized use of platforms or services, or conduct creating significant legal or operational risk.
Upon termination, clients remain responsible for outstanding balances, approved expenses, completed work, and work already in progress through the termination date. Any additional cancellation provisions contained in a signed Statement of Work or agreement will continue to apply.
12 · Disclaimers
Services are provided on an "as available" and commercially reasonable basis. Apex Marketing Lab does not provide legal, tax, accounting, medical, insurance, or regulatory advice.
Information or assistance related to marketing compliance is provided for general operational purposes only. Clients should consult appropriate qualified professionals regarding their individual legal, regulatory, financial, or industry-specific requirements.
13 · Limitation of liability
To the fullest extent permitted by applicable law, Apex Marketing Lab will not be responsible for indirect, incidental, special, punitive, exemplary, or consequential damages arising from the use of its services. This may include loss of profits, revenue, business opportunities, data, reputation, advertising accounts, platform access, or other business losses.
To the fullest extent permitted by law, Apex Marketing Lab's total liability for a claim related to a particular service will not exceed the amount paid by the client for the specific service giving rise to that claim.
14 · Governing law
These Terms of Service are governed by the laws of the State of California, without regard to conflict-of-law principles. Any additional dispute-resolution or venue requirements contained in a signed agreement or Statement of Work will also apply.
15 · Changes to these Terms
Apex Marketing Lab may update these Terms of Service periodically to reflect changes in services, technology, platform requirements, business practices, or applicable requirements. The most current version will be posted on this website with an updated revision date.
Material changes will not replace conflicting terms contained in an active signed agreement unless permitted by that agreement or applicable law.
16 · Entire agreement
These Terms, together with any applicable Statement of Work, proposal, service agreement, order form, invoice, and written amendments, constitute the agreement between Apex Marketing Lab and the client regarding the applicable services. If a signed Statement of Work or written agreement directly conflicts with these general Terms, the signed agreement will control for that specific issue.
17 · SMS terms
By opting in, you agree to receive SMS messages from Apex Marketing Lab LLC. You can cancel the SMS service at any time by texting STOP to our number. After you send STOP, we will send you an SMS to confirm that you have been unsubscribed. If you want to join again, just sign up as you did the first time. For help, text HELP. Message and data rates may apply. Message frequency varies. Carriers are not liable for delayed or undelivered messages.
Service texts and marketing texts are two separate, optional opt-ins; neither is a condition of any purchase. No mobile information will be sold or shared with third parties or affiliates for marketing or promotional purposes. Text messaging originator opt-in data and consent will not be shared with any third parties.
